LÄPPLE Group has restructured its rotary table business across Germany, the US, China, and India. As part of this initiative, Fibro India Precision Products Private Limited (Fibro India), a wholly owned subsidiary of LÄPPLE AG, has sold and transferred its rotary table unit to Fibro Rotary Tables India Private Limited, a newly incorporated entity of the acquiring party.
The Indian segment of this multi-jurisdictional transaction entailed the transfer of movable assets, machinery, employees, contracts, liabilities, and the lease of the manufacturing unit. This restructuring aligns with LÄPPLE’s broader strategy to enhance operational efficiency and optimize business divisions across key global markets.

The Corporate Legal team, led by Ms. Srabonee Roy (Partner), along with Ms. Hima Swetha and Ms. Sushmita Sharma (Associates), provided comprehensive legal counsel on the deal structure and execution.

L&S was instrumental in drafting, negotiating, and finalizing transaction documents, addressing critical aspects such as intellectual property licensing, tax structuring, and obtaining regulatory approvals, including clearance from the Maharashtra Industrial Development Corporation for the sub-lease transfer. The firm also provided legal guidance on incorporating an Indian subsidiary for the foreign acquirer in compliance with India’s foreign exchange laws.
